From month 4 either side gives 90 days' written notice. There is no early-termination fee, no liquidated sum and no balance of the term to settle — the notice period is the only cost of leaving. The 12 months exist because the work is annual: a governance and improvement cycle that only makes sense over a year. The exit exists because you shouldn't have to bet the year to find out whether it works.
